Houdini Wrap Deformer

It offers higher precision, faster performance, and plenty of customization options.

End User License Agreement (EULA)

Please read this End-User License Agreement carefully before downloading or using the Software.

Definitions

For the purposes of this End-User License Agreement:

"Agreement" means this End-User License Agreement that forms the entire agreement between You and Momme Carl regarding the use of the Software.

"Software" means the software program provided by Momme Carl downloaded by You, named Wrap Deformer

"Owner" (referred to as either "the Owner", "I", "Me" or "My" in this Agreement) refers to Momme Carl

"You" means the individual accessing or using the Software or the company, or other legal entity on behalf of which such individual is accessing or using the Software, as applicable.

Acknowledgment

By installing, copying, or otherwise using the Software, you agree to be bound by the terms and conditions of this agreement.

This Agreement is a legal document between You and the Owner and it governs your use of the Software.

The Software is licensed, not sold, to You by the Owner for use strictly in accordance with the terms of this Agreement.

License

The Owner grants You a revocable, limited, non-exclusive, non-transferable license to download, install, and use the Software on any Device owned or controlled by You within the Organization, strictly in accordance with the terms of this Agreement.

Personal License:

The license that is granted to You by the Owner is solely for personal purposes and strictly in accordance with the terms of this Agreement.

Studio License:

The license that is granted to You by the Owner is both for personal and commercial purposes and strictly in accordance with the terms of this Agreement.

License Restrictions

You may not:

Modify, adapt, translate, or create derivative works of the Software.

Reverse engineer, decompile or disassemble the Software.

Remove any copyright, trademark, or other proprietary notices from the Software.

Rent, lease, loan, resell, distribute, or sublicense the Software.

Intellectual Property

The Software, including without limitation all copyrights, patents, trademarks, trade secrets, and other intellectual property rights are, and shall remain, the sole and exclusive property of the Owner.

Updates to the Software

The Owner may from time to time provide enhancements or improvements to the features/functionality of the Software, which may include patches, bug fixes, updates, upgrades, and other modifications. Updates may modify or delete certain features and/or functionalities of the Software. You agree that the Owner has no obligation to (i) provide any Updates, or (ii) continue to provide or enable any particular features and/or functionalities of the Software to You.

You further agree that all updates or any other modifications will be (i) deemed to constitute an integral part of the Software, and (ii) subject to the terms and conditions of this Agreement.

Maintenance and Support

The Owner does not provide any maintenance or support for the download and use of the Software.

Termination

This Agreement shall remain in effect until terminated. This Agreement will terminate immediately, without prior notice from the Owner, in the event that you fail to comply with any provision of this Agreement. Upon termination of this Agreement, You shall cease all use of the Software and delete all copies of the Software.

Termination of this Agreement will not limit any of the Owner's rights or remedies at law or in equity in case of breach by You (during the term of this Agreement) of any of your obligations under the present Agreement.

Warranty Disclaimer

The Software is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Owner, on its own behalf and on behalf of its affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Software, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, the Owner provides no warranty or undertaking, and makes no representation of any kind that the Software will meet your requirements, achieve any intended results, be compatible or work with any other software, applications, systems, or services, operate without interruption, meet any performance or reliability standards or be error-free or that any errors or defects can or will be corrected.

Limitation of Liability

In no event shall the Owner be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of profits, business interruption, loss of data or other information, or any other pecuniary loss) arising out of the use of or inability to use the software, even if the Owner has been advised of the possibility of such damages.

Severability and Waiver

Severability

If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under this Agreement shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Governing Law

The laws of Canada, excluding its conflicts of law rules, shall govern this Agreement and your use of the Software. Your use of the Software may also be subject to other local, state, national, or international laws.

Entire Agreement

This EULA constitutes the entire agreement between you and the Owner regarding your use of the Software and supersedes all prior or contemporaneous agreements and understandings, whether oral or written.

By installing or using the Software, you acknowledge that you have read this agreement, understand it, and agree to be bound by its terms and conditions.
